INTRODUCTION
Welcome to the terms of services (the “Terms”) of www.tlpro.ca (the “Website”)! Please read these Terms carefully as they set forth the agreement between you, an individual user (“you” or “User”), and TLPRO Inc. and/or its affiliates (“we,” “us,” or “our”) regarding your use of the Website, as well as services offered by the Website through our pay-as-you-go and subscription service, including beta versions or services accessed through any of our affiliates (hereinafter referred to as Services). By registering and/or using the Services, you acknowledge that you have read and understand these Terms and agree to be bound by all of the terms and conditions. You also acknowledge that you are over the age of eighteen (18) and that you have the legal capacity to enter into a binding contract under applicable law.

ENROLLMENT IN THE SERVICES
In exchange for any applicable fees and subject to certain limitations as described herein, you will be granted the right to view certain Content (as further defined below) that is available via the applicable Services. For the purpose of these Terms, Content shall include language training courses, all text, graphics, information, data, software, scripts, video and audio recordings, all messages or items of information, slogans, domain names, and any other elements which are part of the Services, individually or in combination, together with all related intellectual property rights, (collectively, the “Content”).

ACCOUNT
3.1 Creation of your Account
To access the Services, you must create an account, for which you must have an email address and provide true, accurate, current, and complete information about yourself and your billing information and keep it up-to-date.
3.2 Unauthorized Use of the Account
You are solely responsible for maintaining the confidentiality and security of your Account and any User identifications and passwords. We reserve the right to suspend your access to the Services and change (or require you to change) your password at any time. Any use of your Account with your password, and in particular, any purchase of Services, is deemed to be carried out by you. You agree to inform us as quickly as possible of any unauthorized use of your username, password, or other information concerning your Account. If we detect that the account is being used by several Users, your account will be suspended, and no refund will be issued.

USE OF SERVICES AND RULES OF CONDUCT
4.1 Use of Services
The Services are intended for your personal, non-commercial use only. You undertake to comply, at all times during use of the Services, with i) the national and international laws and regulations in force, and ii) with these Terms. YOU GUARANTEE THAT YOU WILL NOT USE THE SERVICES FOR UNLAWFUL OR IMMORAL PURPOSES OR FOR PURPOSES CONTRARY TO THE USE OF THE SERVICE.
4.2 Rules of Conduct
You agree not to use the Services for any purpose that is prohibited by these Terms, and that you are responsible for your activity in connection with the Services. Furthermore, you undertake not to directly or indirectly:

Use any element or content which would infringe on the intellectual and industrial property rights;

Create, use, share and/or publish unlawful, harmful, abusive, harassing, threatening, malicious, untruthful, obscene, racist, or otherwise offensive material;

Attempt to gain unauthorized access to another user's account or share your account with others;

Impersonate any person or entity or misrepresent your affiliation with any individual or organization.

INTELLECTUAL PROPERTY RIGHTS
The Content available through the Services and the Services themselves are the property of TLPRO Inc., our affiliates, and are protected by copyright and intellectual property laws. You agree that you will not access the Services from any territory where its contents are illegal, and you are responsible for compliance with applicable local laws.

COPYRIGHT INFRINGEMENT
We respect the intellectual property rights of copyright owners and adhere to a notice and takedown policy. If you believe any Content accessible through our Services infringes your intellectual property rights, please send your infringement notice to us at [email protected].

PAYMENTS AND BILLING
7.1 Payments
When you sign up for a Membership or make a purchase under the Pay-as-you-go option (a “Transaction”), we may ask you to provide additional information relevant to your Transaction, including your payment method information (e.g., credit card number or other payment details). You authorize us to charge your payment method for the selected Transaction.
7.2 Pay-as-you-go
For Pay-as-you-go purchases, you can create an Account and purchase Content at the current fees specified on the Website and as per the terms set forth in these Terms.
7.3 Memberships
When subscribing to a membership plan (30-day, 90-day, 180-day, or other options we may offer), you gain access to the Services per the duration and number of courses set by your specific subscription package. By purchasing a monthly Membership, you acknowledge that your Membership is subject to recurring payments until cancellation. Your Membership will automatically renew at the end of each term unless you cancel it.
7.4 Refund Policy
All fees paid prior to cancellation or termination of your Account are non-refundable. Even if you cancel your Membership during the month, no refunds will be issued for the remainder of that month.
7.5 Cancellation
You can cancel your Membership at any time by logging into your Account and selecting "Cancel Account." Cancellations will take effect at the end of the current billing cycle.
7.6 Termination
We may suspend or terminate your access to the Services if you violate these Terms. All fees paid are non-refundable.

MODIFICATION TO THESE TERMS
We reserve the right to modify, add, or delete any clauses of these Terms at our discretion. If you do not agree to the changes, you may cancel your Account. By continuing to use the Services after changes are posted, you accept the updated Terms.
